2. Description of Service

AdPilot is an AI-powered media buying copilot that helps you manage and optimize your Meta (Facebook/Instagram) advertising campaigns. The Service provides:

  • Performance analysis and insights for your advertising campaigns
  • AI-generated recommendations for campaign optimization
  • Automated actions on your Meta ad accounts (with your approval)
  • Reporting and analytics dashboards
  • Integration with Slack for real-time notifications and commands

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

4. Meta Platform Integration

4.1 Authorization

By connecting your Meta advertising account to AdPilot, you authorize us to access your account data and perform actions on your behalf in accordance with the permissions you grant through Meta's OAuth process.

4.2 Meta's Terms

Your use of AdPilot in connection with Meta's platform is also subject to Meta's Terms of Service and advertising policies. You are responsible for complying with all applicable Meta policies when using the Service.

4.3 Campaign Modifications

When you approve campaign modifications suggested by AdPilot, you acknowledge that these changes will be made to your live advertising campaigns. While we strive to provide accurate and beneficial recommendations, you are ultimately responsible for reviewing and approving any changes made to your accounts.

4.4 Revocation

You may revoke AdPilot's access to your Meta account at any time through your Meta account settings or through the AdPilot platform.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Violate Meta's advertising policies or terms of service
  • Promote illegal products, services, or activities
  • Engage in fraudulent, deceptive, or misleading advertising practices
  • Interfere with or disrupt the Service or its underlying infrastructure
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to access the Service without our permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with third parties
  • Use the Service to develop a competing product or service

6. AI-Generated Content and Recommendations

6.1 Nature of AI Recommendations

AdPilot uses artificial intelligence to analyze your advertising data and generate recommendations. These recommendations are based on algorithms and data analysis, and while we strive for accuracy, they may not always be optimal for your specific business goals or circumstances.

6.2 Your Responsibility

You are responsible for reviewing all AI-generated recommendations before implementation. The decision to implement any recommendation is solely yours, and you accept full responsibility for the outcomes of any actions taken based on AdPilot's suggestions.

6.3 No Guarantee of Results

We do not guarantee any specific results, improvements in campaign performance, or return on investment from using the Service. Advertising performance depends on many factors outside our control, including market conditions, competition, audience behavior, and your creative assets.

7. Fees and Payment

7.1 Pricing

Certain features of the Service may require payment. Current pricing and plans are available on our website. We reserve the right to modify our pricing at any time with reasonable notice.

7.2 Billing

By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. You are responsible for providing accurate billing information and keeping your payment method current.

7.3 Refunds

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by AdPilot and protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

8.2 Your Content

You retain ownership of any content you provide to the Service. By using the Service, you grant us a limited license to use, process, and display your content solely for the purpose of providing and improving the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.

9. Confidentiality

We treat your advertising data and account information as confidential. We will not share your confidential information with third parties except as described in our Privacy Policy or as required by law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless AdPilot and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account termination feature in the Service. Upon termination, your right to use the Service will immediately cease.

13.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

13.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Modifications to Service and Terms

14.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AdPilot operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through:

  • First, good faith negotiations between the parties
  • If negotiations fail, binding arbitration in accordance with applicable arbitration rules
  • You agree to waive any right to participate in a class action lawsuit against AdPilot

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdPilot regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
